| As per the Scheme, each member of the Transferor Company as on Record Date has been allotted equity shares in the Transferee Company in the ratio of 1:1. The Scheme has come into effect and the relevant number of shares allotted to Panatone Group Companies (as defined in the Scheme) thereunder shall be transferred to such Erstwhile Public Shareholders upon HPIL being listed on the recognized Stock Exchanges in accordance with the Scheme. |

| Accordingly, shareholders who had tendered their VSNL Shares in the Open Offer are entitled to be transferred such number of equity shares of HPIL by Panatone Group Companies (as defined in the Scheme) equal to the number of shares of TCL as were accepted out of such shares tendered by you in the Open Offer. |

| Salient Features : |

| 1. Hemisphere shares will be distributed to the extent VSNL shares were accepted in the ratio 1:1. |

| 2. Shares will be distributed in demat form only. |

| 3. The names of the holder and sequence of holders in the demat account in which the Hemisphere shares are to be credited should be identical as in the account from which VSNL shares were tendered in Open Offer. |

| 4. Incase of change in demat A/c. on account of death of the holder / change in name due to marriage / closure of DP, Notary attested copy of the relevant supporting document should be submitted alongwith DP transaction statement evidencing the transfer of shares from old demat account to new demat account. |

| 5. All required procedural documents with respect to change in address / Name / etc., are required to be executed and submitted alongwith the Form of Confirmation. The documents required are stated on the Form of Confirmation as well in the Notice. |

| 6. Shares will be distributed to the shareholders who have submitted their Form of Confirmation alongwith supporting document, if the same are found to be inorder and complete in all aspects. |
